These Purchase Terms and Conditions and apply to your purchase of Products and/or Delivery Services through the website and showroom. These Purchase Terms and Conditions are incorporated into and made a part of NIHILO LLC Terms of Service, and which shall be deemed incorporated therein by this reference as if set forth in full in NIHILO LLC Terms of Service. All capitalized terms shall have the meaning ascribed to them in NIHILO LLC Terms of Service unless otherwise defined in these Purchase Terms and Conditions. In the event of any conflict between these Purchase Terms and Conditions and NIHILO LLC Terms of Service, these Purchase Terms and Conditions shall control solely with respect to the subject matter herein.These Purchase Terms and Conditions dictate the terms of your acquisition of Products and/or Delivery Services through our website and showroom. They constitute an integral component of NIHILO LLC's overarching Terms of Service, herein incorporated by reference with the same force and effect as if fully delineated. Capitalized terms, unless explicitly defined otherwise within this document, shall retain the meanings ascribed to them in NIHILO LLC's Terms of Service. Should any inconsistency arise between these Purchase Terms and Conditions and NIHILO LLC's Terms of Service, these Purchase Terms and Conditions shall take precedence, limited strictly to the subject matter contained herein.
1. DEFINITIONS
1.1. “Delivery Services” means professional delivery and/or installation services provided by NIHILO LLC’s third party providers.
1.2. “Products” means the home goods and products that users may purchase through the website and/or through the showroom.
2. ORDERS & PAYMENT TERMS
2.1. Prices. Prices and availability of products, both online and at our Flagship store, are subject to change without prior notice. We reserve the right to correct any errors and to cancel any offer or rectify any mistakes, even subsequent to the placement of an order.
2.2. Orders. The submission of an order, whether online, at our Flagship store, or directly, constitutes an offer to purchase our products and/or delivery services. This does not signify our acceptance of the offer to sell.
2.3. Quotes. For custom or made-to-order products, or in instances involving special arrangements or additional fees for your purchase and/or delivery, we may issue a "Quote" via email or other communication. This Quote will delineate such special arrangements and/or fees. Upon your acceptance of the Quote, whether by email or other method, it shall be reclassified as an "Order" and shall represent your formal offer to purchase the specified products and/or services, inclusive of any special arrangements and fees. It is imperative that all Quotes be thoroughly reviewed for accuracy concerning your request. We disclaim responsibility for the fulfillment of an incorrect Order based upon an accepted Quote.
2.4. Order Acceptance. We retain the sole discretion to accept or reject any order, or any portion thereof. Upon acceptance of your order, an order confirmation email will be dispatched to the address provided. Our acceptance of any order is predicated upon these governing Terms of Purchase. Our failure to object to any terms you may include in your communication does not constitute a waiver of our terms. Any divergent or supplementary terms you propose are deemed material and are hereby rejected by us unless explicitly endorsed in writing by an authorized representative of NIHILO LLC. UPON OUR ACCEPTANCE OF YOUR ORDER, IT BECOMES IRREVOCABLE.
2.5. Order Cancellation by NIHILO LLC. We reserve the right to cancel any order at any time, even if previously accepted. This right includes, but is not limited to, the ability to: (a) impose quantity limits or discontinue the offering of any products/services; (b) establish conditions for the honoring of coupons or promotions; (c) restrict any user from placing or completing orders; and (d) decline to provide any products/services to any user.
2.6. Shipping & Handling Charges. You are responsible for all shipping and handling charges, which are determined by the address provided in your order. These charges are calculated based on the prevailing rates at the time of order submission and will be incorporated into your total. Should shipping or handling costs increase (e.g., due to a change of address or heightened rates for products with extended lead times), we may, at our discretion, require payment of such additional fees, or we may cancel your order and issue a full refund.
2.7. Taxes. Unless legally mandated or otherwise stipulated, all stated prices exclude tariffs, import duties, customs fees, VAT, sales taxes, or other analogous charges (hereinafter referred to as "Taxes"). Should your purchase be subject to any Taxes, you bear sole responsibility for their remittance (excluding taxes on our income), as well as any associated penalties and interest, pertaining to the payment of fees or delivery of products/services. You agree that we are authorized to charge you for these Taxes.
2.8. Payment Terms. You agree to remit payment to us and authorize us and our third-party payment processors to charge you for all fees (including shipping and handling), Taxes, and other applicable charges specified in your order or otherwise payable to us as delineated in these Purchase Terms and Conditions. This includes, but is not limited to, amounts for made-to-order products or products with extended lead times, which will be charged upon order acceptance and are considered a "prepayment." You are required to provide information pertinent to your order, such as your credit card number, expiration date (and CCV#), billing address, and shipping information. You affirm that you possess the legal right to utilize any credit card(s) or other payment methods provided. By submitting this information, you grant us the right to share it with our third-party service providers to facilitate the completion of your orders. Verification of your information may be necessary prior to acknowledging or completing any order.
3. INDEMNIFICATION
The Customer shall indemnify, defend, and hold harmless NIHILO LLC, including its employees, contractors, service providers, vendors, and agents, from and against any and all claims, actions, demands, liabilities, losses, damages, expenses, and costs (including reasonable attorney fees) arising from: (a) the Customer's breach of these Purchase and Sale Terms; (b) the Customer's failure to perform and/or comply with its obligations and responsibilities applicable to any Products and/or Delivery Services purchased by the Customer; or (c) the Customer's use and/or misuse of the Products and/or Delivery Services purchased by the Customer. NIHILO LLC reserves the right, at its sole expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Customer hereunder, in which case, the Customer agrees to cooperate with NIHILO LLC in the defense of the claim. Please note that some jurisdictions limit consumer indemnities, and therefore, portions or all of this indemnity provision may not apply to the Customer.
4. DISCLAIMER OF WARRANTIES &LIMITATIONS ON OUR LIABILITY
4.1. Disclaimer of Warranties - Generally. The products (subject to the return policy with respect to website and/or flagship products only) and/or delivery services are all provided "as is" and "as available". NIHILO LLC and its licensors, vendors, providers, and suppliers hereby expressly disclaim any representations, warranties or guarantees of any kind, express or implied, including warranties of title, quality, merchantability, fitness for any particular purpose, satisfactory purpose, accuracy, non-infringement, and any warranties and conditions that may arise from course of dealing, course of performance or usage of trade.
4.2. Disclaimer – Product Information, Colors; Product Listings. All product information is provided for informational purposes and personal uses only. you understand and agree that NIHILO LLC uses commercially reasonable efforts to display the colors of the products accurately on the site. however, because individual computer monitors and/or devices may display colors differently, NIHILO LLC is not responsible for the color accuracy of any products displayed on or through the site, and disclaims all liability in this regard.
NIHILO LLC assumes no liability whatsoever for inaccuracies, misstatements, or omissions related to any product information, including, without limitation, color accuracy of any products displayed or listed on the site. your use of or reliance upon any product information, including, without limitation, any images of any products displayed on or through the site, is entirely at your own risk, for which we will not be liable.
4.3. Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall NIHILO LLC be liable or obligated, with respect to these purchase terms and conditions, the products, and/or any delivery services, whether under any contract, negligence, strict liability or other legal or equitable theory and even if NIHILO LLC has been advised of the possibility of such liability or obligation: (a) in the aggregate, for any amounts in excess of the greater of the fees paid to NIHILO LLC by you under the applicable order with respect to the products and/or delivery services giving rise to the claim or liability, or one hundred dollars ($100.00); (b) for any cost of procurement of substitute goods, services or rights, or any incidental, special, exemplary, punitive, reliance, or consequential damages; or (c) for any matter beyond NIHILO LLC reasonable control.
The parties agree that these limitations shall apply even if these terms or any limited remedy specified herein is found to have failed of its essential purpose. NIHILO LLC disclaims all liability of any kind of NIHILO LLC’S licensors and suppliers.
4.4. Application of Limitations and Disclaimers to Consumers. Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages with respect to consumers (i.e., a person acquiring goods otherwise than in the course of a business), so the disclaimers, exclusions and limitations set forth in this Section 6 may not apply to you if you are a consumer. The limitations or exclusions of warranties and liability contained in these Terms do not affect or prejudice the statutory rights of a consumer. The limitations or exclusions of warranties and remedies contained in these Terms shall apply to you as a consumer only to the extent such limitations or exclusions and remedies are permitted under the laws of the jurisdiction where you are located.Should you be a consumer (an individual acquiring goods outside of a commercial context), certain states or jurisdictions may not sanction the exclusion of implied warranties or the limitation of liability for incidental or consequential damages. In such instances, the disclaimers, exclusions, and limitations delineated in Section 6 may not be applicable to you.
These Terms shall not diminish or prejudice your statutory consumer rights. Any limitations or exclusions of warranties and remedies contained within these Terms shall apply to you as a consumer only to the extent permissible by the laws of your jurisdiction.
4.5. Basis of the Bargain. The warranty disclaimer and limitation of liability set forth above in this Section 6 are fundamental elements of the basis of the agreement between NIHILO LLC and you. NIHILO LLC would not be able to provide Products and/or Delivery Services on an economic basis without such limitations. The warranty disclaimer and limitation of liability inure to the benefit of NIHILO LLC’s suppliers.
5. FORCE MAJEURE
NIHILO LLC disclaims liability for order delays, non-delivery, or non-acceptance—beyond the refund obligations specified in our Return Policy—when such issues result from circumstances beyond our reasonable control. These circumstances encompass, but are not restricted to, force majeure events, acts of terrorism, declarations of war, instances of political instability, civil disturbances, actions undertaken by civil or military authorities, alterations in legislative or regulatory frameworks, labor disputes, scarcity of essential materials, natural catastrophes (e.g., conflagration, seismic activity, inundation), failures in telecommunications or internet infrastructure, public health emergencies (e.g., plague, epidemic, pandemic, outbreaks of infectious diseases, mandatory quarantine), or any other unanticipated natural or anthropogenic occurrences that impede, obstruct, or defer NIHILO LLC or its designated suppliers, vendors, service providers, contractors, and subcontractors from discharging their contractual obligations.
6. CALIFORNIA PROPOSITION 65
California Proposition 65 requires that special warnings be provided when products contain chemicals known by the State of California to cause cancer, birth defects, or other reproductive harm if the use of those products may cause exposure to those chemicals above specific limits. For more details on California Proposition 65, visit: https://www.p65warnings.ca.gov/. These warnings relate to some, but not all, Products (or components contained in Products). For example, crystal glassware, ceramic tableware, and tiffany style lamps may expose you to lead, a chemical known to the State of California to cause birth defects or other reproductive harm, and electrical cords may contain chemicals known to the State of California to cause cancer and birth defects or other reproductive harm.
